GENERAL TERMS AND CONDITIONS

1. DEFINITIONS AND INTRODUCTION

1.2.4 FIDELIST MANAGEMENT LTD reserves the right, in the event of a Contract violation, abuse and/or abusive use of a User account (limited to one account per user), abuse of promotion and/or of any other offer from FIDELIST MANAGEMENT LTD, to terminate the Contract and immediately close and/or freeze the account(s) of the incriminated User.

1.2.5 In the event of a Software interruption due to any problem whatsoever, FIDELIST MANAGEMENT LTD reserves the absolute right to require a screen capture.

1.2.6 FIDELIST MANAGEMENT LTD and its electronic money operator reserve the right to modify, at any time, the bid limits on prizes and/or to apply reasonably different limits.

2. OBJECT OF THE CONTRACT

2.1 The object of the Contract is to define and regulate the legal relationships between FIDELIST MANAGEMENT LTD and the User of the Software on the Website for the purpose of playing games of chance online, and particularly the tombola.

4.2 You are 18 years of age minimum and the legal age required by the laws applicable in your country of origin, and you are fully and totally capable of understanding the scope of your actions and to assume full responsibility for them.

4.8 You hereby certify the legality of the funds used to play online games of chance through the use of the Service and/or Software, and certify that these funds do not originate from illegal sources, whether directly or indirectly. You hereby agree to refrain from using the Service and/or Software for any illegal or fraudulent activity, or for any prohibited transaction (including money laundering), pursuant to any laws which may be applicable to you. FIDELIST MANAGEMENT LTD reserves the right to terminate or freeze, at any time and until all issues have been fully resolved, any User account if there is the slightest doubt regarding the legality of the origin of funds used by the User.

4.9 You hereby certify that you will not force or attempt to force or bypass in any way the security measures of FIDELIST MANAGEMENT LTD. In the event FIDELIST MANAGEMENT LTD has the slightest doubt regarding the compliance with this clause, FIDELIST MANAGEMENT LTD reserves the right to immediately terminate or freeze your account without reimbursing you for the amount credited to your account, and to deny you access to the Website as well as to any other website, service or software offered by FIDELIST MANAGEMENT LTD.

4.10 You hereby certify that you will not use or attempt to use software equipped, in our opinion, with artificial intelligence regarding the use of the Service. In the event FIDELIST MANAGEMENT LTD has reason to suspect that you have used, or tried to use a product equipped with artificial intelligence with our Service or Software, FIDELIST MANAGEMENT LTD reserves the right to immediately terminate or freeze your account without reimbursing you for the amount credited to your account, and to deny you access to the Website as well as to any other website, service or software offered by FIDELIST MANAGEMENT LTD.

4.11 You hereby acknowledge the fact that FIDELIST MANAGEMENT LTD reserves the right to request, at any time, a deposit slip for any alternative payment to a credit card (e.g. a receipt from Paypal). In addition, FIDELIST MANAGEMENT LTD reserves the right to request, at any time and without having to explain the reason for this request, the bank account number of any User.

4.12 You hereby agree that any amount of money deposited in your account will under no circumstances generate interest.

4.13 Every User is only entitled one active account. You hereby certify you will not abuse the privilege of opening an account in order to benefit from credits, bonuses, promotions, and other offers of FIDELIST MANAGEMENT LTD. In the event of abusive use, FIDELIST MANAGEMENT LTD reserves the right, at its sole discretion, to terminate the Contract and immediately close and/or freeze the User accounts opened for these purposes.

4.14 You hereby acknowledge that you are obliged, when you register, to provide personal information including, but not limited to, information regarding payment methods.

4.15 In the event you win a prize as a result of using the Software or Service, you grant FIDELIST MANAGEMENT LTD the free, exclusive, permanent, and irrevocable right to use your last name, first name, image and residence location in its advertisements and on the Internet, in the media and for any advertising or promotional event, without this use entitling you to rights other than the prize won. In addition, you agree to fully cooperate with FIDELIST MANAGEMENT LTDrepresentatives for these purposes.

4.16 If you win a prize, you are solely responsible for any registration and/or tax declaration, if applicable, tax payment and/or any other tax or exceptional tax for which you may be liable to any administration upon the delivery of the prize.

4.17 You are solely responsible for any telecommunication network or Internet service and for any other authorization or permission required for your use of the Service or Software.

4.18 FIDELIST MANAGEMENT LTD reserves the right to modify, at any time and at its sole discretion, the terms and conditions of your right to use the Website, Service and Software. Your use of the Website, Service, and/or Software after any modification implies your full acceptance of the modification(s) made.

5. OUR STATEMENT AND COMMITMENT

5.1 FIDELIST MANAGEMENT LTD, is a company incorporated under Cypriot laws and hence, submitted to the European legislation; holding all necessary authorizations to operate an online tombola under the name WINLUXURYWATCHES.COM by means of the Software.

5.2 FIDELIST MANAGEMENT LTD will deliver to the User any prize regularly won in accordance with the General Terms and Conditions of the contract.

5.3 FIDELIST MANAGEMENT LTD is, under no circumstances, responsible for any access to a User's account by a third party and will, under no circumstances, be liable for any loss incurred as a result of fraudulent use of a User's password by a third party, for any unauthorized access to a User account, and/or for any unauthorized transaction for which the User's name and password have been correctly entered.

5.4 FIDELIST MANAGEMENT LTD is, under no circumstances, responsible for the recovery of a forgotten or lost password by a User. FIDELIST MANAGEMENT LTD is never obligated to keep User’s password and account names.

5.5 FIDELIST MANAGEMENT LTD uses the latest private/public encryption methods to best ensure the security of Users’ names and passwords to guarantee secured access to the Service and/or Software.

5.6 FIDELIST MANAGEMENT LTD guarantees that the Software provides the User with absolute random and fair chances to win by the use of the Random Number Generator Software (RNG).

5.7 FIDELIST MANAGEMENT LTD is, under no circumstances, obligated to investigate or follow up any complaint by a User against another User, for any reason whatsoever, including regarding the General Terms and Conditions of this Contract. FIDELIST MANAGEMENT LTD may, however, decide, at its sole discretion, to act against any person suspected of illegal action or intent to violate the Contract’s General Terms and Conditions.

5.8 FIDELIST MANAGEMENT LTD is, under no circumstances, obligated to verify whether the Users actually use the Service and/or Software according to the applicable Terms and Conditions of the Contract.

6. BONUSES, PROMOTIONS, AND OFFERS

6.1 All bonuses, promotions, and/or special offers by FIDELIS MANAGEMENT LTD must be used according to their respective related specific conditions. FIDELIST MANAGEMENT LTD reserves the right to withdraw, at any time and at its sole discretion, any bonus, promotion, and/or special offer.

7. BONUS SEEKER

7.1 Any abusive and repetitive use of the promotions offered by FIDELIST MANAGEMENT LTD by only depositing a minimum amount in a User account to be able to play with bonuses could result in FIDELIST MANAGEMENT LTD, at any time and at its sole discretion, to categorize the User as a “Bonus Seeker”.

7.2 When a User has been categorized by FIDELIST MANAGEMENT LTD as a “Bonus Seeker”, he/she will no longer be able to benefit from any bonus, promotion, or special offer.

8. TRANSACTIONS

8.1 FIDELIST MANAGEMENT LTD reserves the right to limit or deny, at any time and at its sole discretion, any bid by a User, including through debiting his/her account.

8.2 FIDELIST MANAGEMENT LTD may, at all times, withdraw from the positive balance of a User account any amount due by the such User.

8.3 You are solely responsible for the payment of any amount due to FIDELIST MANAGEMENT LTD and, in the event of a dispute, you will not be able to refuse any payment of due amount(s), or reverse and/or cancel any payment made. In addition, you will be liable for any loss and/or damage, if any, incurred by FIDELIST MANAGEMENT LTD in connection with as a result of your payments. FIDELIST MANAGEMENT LTD may, at its sole discretion, block the Service or refuse to credit accounts of Users who pay with certain credit cards.

8.4 FIDELIST MANAGEMENT LTD reserves the right to verify the creditworthiness of any user based on information provided upon registration, including through third parties.

9. DELIVERY

9.1 A prize won is, under no circumstances, exchangeable for another prize or its exchange value. It may, under no circumstances, be assigned, respectively delivered and remitted to a person other than the winning beneficiary User. The postal address provided by the User in his/her User account may not include the last name or first name of a person other than the User holder of the account as declared upon his/her registration on the Website.

9.2 Any delivery will be completed on the Monday following the drawing date, after validation of the win by FIDELIST MANAGEMENT LTD. Following verification of the prize awarding conditions, the winner will be informed of his/her win by email. The prize will be shipped by express carrier to the postal address provided upon opening of the User account. You will receive your prize in a few days, depending on your residence location.

9.3 FIDELIST MANAGEMENT LTD will, under no circumstances, be liable for any delay in the shipment of prizes if this delay is not attributable to FIDELIST MANAGEMENT LTD but to service provider(s) hired for such shipments. FIDELIST MANAGEMENT LTD will not be contractually or legally liable for operations related to the transportation of the prizes, including in case of loss or damage of any kind incurred during transportation.

9.4 FIDELIST MANAGEMENT LTD only delivers the prize won by a User and is not the producer, manufacturer, supplier, vendor, or distributor of the prizes, whatever these prizes may be, and is therefore not liable on such account.

9.5 Any winner of a prize agrees to pay any tax, social contribution or any other right, if any, of any nature whatsoever, which could be payable to any administration, and FIDELIST MANAGEMENT LTD will be released of any responsibility whatsoever in connection there with.

10. ABSENCE OF GUARANTEE

10.1 FIDELIST MANAGEMENT LTD SUPPLIES A SERVICE AND SOFTWARE « AS SUCH », WITHOUT ANY GUARANTEE, INSURANCE, COMMITMENT OR STATEMENT OF ANY KIND, EXPRESS OR TACIT, LEGAL OR OTHER. FIDELIST MANAGEMENT LTD EXCUDES ALL TACIT TERMS, CONDITIONS AND/OR GUARANTEE, INCLUDING, ALTHOUGH NOT LIMITED TO, IMPLICIT WARRANTIES, MARKETING CONDITIONS, AND/OR ISSUES OF SUFFICIENT QUALITY, FITNESS AND ADAPTABILITY TO A SPECIFIC PURPOSE, COMPLETION AND PRECISION OF SERVICE AND SOFTWARE, OR REGARDING THE VIOLATION OF ANY APPLICABLE LAW AND/OR REGULATION.

10.2 FIDELIST MANAGEMENT LTD DOES NOT GUARANTEE THAT THE SERVICE OR SOFTWARE IS AUTHORIZED, THAT ITS OPERATION FULLY SATISFIES YOU, THAT IT IS FULLY SECURE AND EXEMPT OF ERRORS, AND REGULARLY UPDATED, THAT ANY SOFTWARE DEFECT IS PERIODICALLY CORRECTED, THAT IT IS UNINTERRUPTED, THAT THE SERVICE OR SOFTWARE DOES NOT CONTAIN ANY VIRUS AND/OR BUG, OR THAT IT IS CONTINUOUSLY OPERATIONAL, COMPIANT, RELIABLE, OR THAT ANY INFORMATION OR RESULT OBTAINED THROUGH THE SERVICE IS COMPLIANT AND RELIABLE.

10.3 IN THE EVENT OF AN ERROR IN SYSTEMS OR COMMUNICATION SYSTEMS DUE TO VIRUSES OR BUGS RELATED TO ACCOUNT OPERATIONS OR ANY OTHER SOFTWARE PARAMETERS OR COMPONENTS, FIDELIST MANAGEMENT LTD WILL, UNDER NO CIRCUMSTANCES, BE LIABLE TOWARD THE USER OR ANY THIRD PARTY FOR ANY DAMAGE, COST, EXPENSE, LOSS OR CLAIM RESULTING FROM THESE ERRORS, AND RESERVES THE RIGHT, IN THE EVENT OF SUCH ERROR, TO CANCEL ALL GAMES FROM THE SOFTWARE AND WEBSITE AND TAKE ANY OTHER ACTION TO CORRECT THESE ERRORS, SUBJECT TO THE FACT THAT FIDELIST MANAGEMENT LTD IS NOT OBLIGATED TO PROVIDE A NETWORK AND/OR SIMILAR BACKUP SYSTEMS OR SERVICES.

10.4 FIDELIST MANAGEMENT LTD WILL, UNDER NO CIRCUMSTANCES, BE RESPONSIBLE FOR ANY ACTION OR OMISSION FROM THE USER’S INTERNET PROVIDER OR ANY OTHER THIRD PARTY WITH WHOM THE USER HAS CONTRACTED TO HAVE ACCESS TO THE SERVICE AND/OR SOFTWARE OF FIDELIST MANAGEMENT LTD. IN THE EVENT OF A DISPUTE BETWEEN THE INTERNET PROVIDER AND THE USER, FIDELIST MANAGEMENT LTD WILL, UNDER NO CIRCUMSTANCES, BE A PARTY IN THE DISPUTE AND PROCEEDINGS AND SUCH DISPUTE WILL, UNDER NO CIRCUMSTANCES, AFFECT THE OBLIGATIONS OF THE USER REGARDING THE TERMS AND CONDITIONS OF THE CONTRACT.

11. MODIFICATION OF THE CONTRACT OR PRIVACY POLICY

11.1 FIDELIST MANAGEMENT LTD reserves the right, at any time and at its sole discretion, to amend, modify or update the Terms and Conditions of the Contract, game rules, and privacy policy, as well as any other term and/or condition included on the Website and all its other websites, if any (collectively called, in this clause, the “General Terms and Conditions”). The version displayed on the FIDELIST MANAGEMENT LTD website(s) is the only applicable version, to which all Users have to refer. A modification notice with a date of effect will be posted on the Website. It is your responsibility to keep informed of the General Terms and Conditions and to be aware of the modifications which could affect you. FIDELIST MANAGEMENT LTD recommends that you periodically read the General Terms and Conditions at least every time a modification notice is posted on the Website. By continuing to use the Website, Service and/or Software and other sites offered by FIDELIST MANAGEMENT LTD, you automatically agree to be bound by the General Terms and Conditions as well as to their latest modifications, whether you have read them or not. In this event, modifications will be immediately applicable to the User, following publication of the new clauses which can be easily viewed on the Website. 12. LIMITS OF RESPONSIBILITY

12.2 FIDELIST MANAGEMENT LTD is, under no circumstances, responsible for any loss or damage, directly or indirectly incurred by you or by a third party as a result of your, or a third party’s, use of the Service and/or Software, including, although not limited to, damage resulting from a commercial loss, a profit loss, a loss on anticipated earnings, the termination of a deal, a loss of commercial information, or any other loss of any nature whatsoever resulting from your, or a third party's, use of the Website.

12.3 FIDELIST MANAGEMENT LTD is, under no circumstances, responsible for any loss or damage incurred by you or by a third party as a result of your, or a third party’s, use of the Website, its content, or any other link offered by FIDELIST MANAGEMENT LTD.

12.4 FIDELIST MANAGEMENT LTD is, under no circumstances, responsible for any loss or damage incurred by you or by a third party as a result of any modification, suspension, or interruption of the Service or Software.

12.5 FIDELIST MANAGEMENT LTD is, under no circumstances, responsible for any loss or damage, including, although not limited to, any loss of earnings, resulting from a malfunctioning Service and/or Software following a delay, interruption, transmission, loss or corruption of data, malfunctioning communication lines, malicious use of the FIDELIST MANAGEMENT LTD Websites or their content by any person, or an error, omission or any factor outside its control. In the event these errors result in a win (prize), you are obligated to immediately inform FIDELIST MANAGEMENT LTDand, in any case, FIDELIST MANAGEMENT LTD reserves the right to claim any win (prize) you would have received as a result of such error, and you will be obligated to immediately return the wrongfully won prize to FIDELIST MANAGEMENT LTD if it was delivered to you.

13. FAILURE TO RESPECT THE CONTRACT

13.1 By agreeing to be bound by the Contract, you agree to fully indemnify, defend and exempt us, upon request, from any claim, liability, damage, loss, cost, or expense, including, but not limited to any fees, legal or otherwise, that we could incur as a result of any failure to respect the Contract, a violation of our General Terms and Conditions, regulations and/or rights or the rights of third parties, any use of the Service and/or Software with your identifier, whether with or without your permission, as well as any acceptance of a prize won by you.

13.2 In the event of a failure to respect the Contract, our General Terms and Conditions, regulations, and/or rights or the rights of third parties, or if FIDELIST MANAGEMENT LTDhas reasonable suspicion that you disregarded one of them, FIDELIST MANAGEMENT LTD reserves the right to, in addition to any other recourse at its disposal, and at its sole discretion, freeze your User account as well as its assets and to compensate them with any damage incurred or with any amount due, until adjudicated by law. In addition, FIDELIST MANAGEMENT LTD reserves the right to indefinitely ban you from accessing the Website, Service and Software, as well as all other Websites belonging to it.

14. DISPUTES

14.1 Any claim or dispute of any nature whatsoever must imperatively be presented within seven (7) days of the disputed event, by letter registered with acknowledgement of delivery to the registered office of FIDELIST MANAGEMENT LTD. You hereby permanently and irrevocably agree that any claim or dispute presented by you more than seven (7) days following the disputed event will not be considered and will, therefore, have no legal validity.

14.2 In the event of a discrepancy between the result posted in the Software and the result posted in our server, the result posted in our server will prevail in all instances. You hereby certify that you understand and accept that the settlement of any dispute in this matter will be based on recordings made by FIDELIST MANAGEMENT LTD.Additionally, you agree with the use of the Random Number Generator software (RNG).

14.3 By express agreement between the User and FIDELIST MANAGEMENT LTD, the sole computer systems and folders of FIDELIST MANAGEMENT LTD shall be deemed authentic. Computer registers saved in the systems of FIDELIST MANAGEMENT LTD, under reasonable security and reliable conditions will be considered as evidence of relationships and communications between FIDELIST MANAGEMENT LTD and the User. Consequently, it is agreed that, subject to obvious error, FIDELIST MANAGEMENT LTD will be entitled, for the purpose of evidence among other purposes, to claim any act, fact, or omission, software, data, folders, recordings, operations and other elements (such as follow-up reports or other reports) of computerized or electronic nature, format, or support, established, received, or saved, directly or indirectly, by FIDELIST MANAGEMENT LTD, including in its IT systems. The considered elements will constitute elements of evidence and, if presented, as evidence for FIDELIST MANAGEMENT LTD in any contentious or other proceedings, they will be admissible, valid and opposable to parties in the same manner and under the same conditions, and with the same probative force as any document which would be established, received, or saved in writing.
Operations of any nature completed through the identifier and code allocated to a User following the latter’s registration are presumed, in an unchallengeable manner, to have been completed under the sole responsibility of the User.

14.4 The official legal language of these General Terms and Conditions and of any regulations and other contents of the Website is English. In the event of a translation, English only will prevail.

15. DURATION, TERMINATION, AND NOTIFICATION

15.1 The Contract is concluded and takes effect immediately after you click on “I accept” and will remain fully applicable until validly terminated in accordance with this clause.

15.2 You may terminate the Contract at any time, by email, provided there is no amount due, for any reason whatsoever, to FIDELIST MANAGEMENT LTD. The termination of the Contract will take effect after you have received an email from FIDELIST MANAGEMENT LTD confirming your termination. From the time the Contract has been terminated, you are no longer authorized to use the Service and Software, and you are obligated to delete and destroy all documentation related to the Service or Software in your possession, in your power, or under your control. However, FIDELIST MANAGEMENT LTD recommends that the credit card holder prints all data regarding transactions, game rules, cancellation rules, and payment methods of FIDELIST MANAGEMENT LTD.

15.3 FIDELIST MANAGEMENT LTD reserves the right to terminate the Contract and close your User account, at any time, without any reason and at its sole discretion, or when one of your actions could harm FIDELIST MANAGEMENT LTD and/or its members, including, although not limited to, fraud, failure to respect one or several Terms and Conditions of the Contract, abuse of bonuses, promotions or offers, and/or abusive use of the Software.

15.4 In the event of termination of the Contract by one of the parties, FIDELIST MANAGEMENT LTDagrees to fully reimburse you for the credit balance on your User account, after deduction of any amount due to it. Any different disposition in these General Terms and Conditions remains expressly reserved.

15.5 Any right and obligation between the parties to the Contract will cease upon effective termination of the Contract, regardless of motives, unless otherwise expressly provided, and subject to rights and obligations accepted prior to the effective termination date.

17. MANUFACTURER'S WARRANTY *

17.1 The manufacturer’s guarantee commences on the date of purchase of the watch by the correspondents of Fidélist Management Ltd. Since all watches offered as prizes were purchased before being displayed on-line, and it is impossible to establish in advance the date on which they will be awarded to winners, Fidélist Management Ltd will underwrite the additional guarantee period to make up the full 2 years initially covered by the majority of manufacturers.

18. APPLICABLE LAW AND COMPETENT JURISDICTIONS

18.1 The Contract, its interpretation and performance and the entire legal relationship between the parties to the Contract shall be governed exclusively by the laws of Cyprus.

18.2 Any dispute of any nature whatsoever related to, resulting from, or originating from the Contract will be submitted to the exclusive jurisdiction of the competent courts of Limassol in Cyprus. FIDELIST MANAGEMENT LTD reserves, however, at its sole discretion, the right to bring legal action against any User before any other competent jurisdiction, including the courts of the concerned User's domicile.

19. DIRECTIVE REGARDING INFORMATION TECHNOLOGY, FOLDERS, AND LIBERTIES

19.1 In compliance with the European Directive nr. 95/46 dated October 24, 1995, regarding the protection of natural persons in the processing of personal information and the free circulation of his/her data, the individuals who connected to the Website and answered the registration questions to have access to the games and services of the Website have the right to oppose, access, and correct their information. Consequently, any User registered on the Website has the right to request his personal information to be corrected, completed, clarified, updated, or deleted. This request may be made directly on the Website, by following the procedure described under the heading "My account".
